Client Responsibilities

Proposal Validity & Acceptance

  • This proposal is valid for 14 days from the date of issue
  • By approving this proposal, you agree to the scope, pricing, timeline, and terms outlined
  • A signed copy confirms your acceptance and initiates the project

Terms & Conditions

1. Project Commencement

  • Work will commence upon receipt of 50% advance payment and signed agreement
  • Project timeline begins from the date of project kick-off meeting
  • Client must provide all necessary materials (logo, content, images) within agreed timeframes

2. Payment Terms

  • 50% payment required to start the project
  • Remaining 50% due upon project completion, before final deployment
  • All payments are non-refundable once work has commenced
  • Late payments may result in project delays or suspension of services
  • All prices quoted are in Sri Lankan Rupees (LKR)

3. Scope Changes & Additional Work

  • Changes to the original scope will be quoted separately
  • Additional features or pages not listed in this proposal will incur extra charges
  • Minor revisions within the agreed scope are included during the revision period
  • Major redesigns or functionality changes will require a new quotation

4. Timeline & Delays

  • Project timeline is estimated and may vary based on project complexity
  • Delays in client feedback or material provision will extend the timeline accordingly
  • DIXY is not liable for delays caused by third-party services or hosting providers
  • Force majeure events are excluded from timeline commitments

5. Intellectual Property & Ownership

  • Upon full payment, client owns the website and website content
  • DIXY retains rights to use the project in portfolio and marketing materials
  • Third-party plugins, frameworks, and libraries remain under their respective licenses
  • Client is responsible for ensuring all provided content is legally owned or licensed
  • Stock images or premium resources used will be licensed appropriately

6. Content & Materials

  • Client is responsible for providing accurate and legal content
  • DIXY is not responsible for copyright infringement of client-provided materials
  • Client grants DIXY permission to use provided materials for this project
  • Content should be provided in editable formats (Word, text files, high-res images)

7. Testing & Browser Compatibility

  • Website will be tested on major browsers (Chrome, Firefox, Safari, Edge)
  • Mobile responsiveness tested on common devices and screen sizes
  • Client is responsible for final testing and approval before launch
  • Post-launch bugs discovered within 30 days will be fixed free of charge

8. Hosting & Maintenance

  • Free hosting valid for 1 year from launch date
  • After the complimentary period, maintenance packages are available
  • Hosting renewal and maintenance require advance payment
  • Website backups are performed daily during the hosting period
  • DIXY is not liable for data loss due to client actions or third-party failures

9. Revisions & Support

  • 1 month free revisions include minor design tweaks and content updates
  • 3 months free maintenance includes technical support and bug fixes
  • Revisions do not include new features or major functionality changes
  • Support is provided during business hours (9 AM - 6 PM, Monday to Friday)

10. Confidentiality

  • Both parties agree to keep confidential information private
  • DIXY will not share client business information with third parties
  • Client information will only be used for project delivery purposes

11. Liability & Warranties

  • DIXY provides services to the best of professional ability
  • No warranty is provided for third-party services, plugins, or integrations
  • DIXY is not liable for indirect, consequential, or special damages
  • Total liability is limited to the amount paid for the project
  • Client is responsible for regular content updates and security after handover

12. Termination

  • Either party may terminate with 14 days written notice
  • Upon termination, client pays for all work completed to date
  • No refunds will be issued for payments already made
  • All work-in-progress materials remain property of DIXY until full payment

13. Dispute Resolution

  • Any disputes will first be attempted to resolve through good-faith negotiation
  • If unresolved, disputes will be settled through arbitration in Sri Lanka
  • This agreement is governed by the laws of Sri Lanka

14. Agreement Acceptance

  • Signing this proposal constitutes acceptance of all terms and conditions
  • This proposal and terms constitute the entire agreement between parties
  • Any modifications must be made in writing and signed by both parties
  • This proposal is valid for 14 days from the date of issue
